These Terms of Service ("Terms") constitute a legally binding agreement between Nexcloudnet ("Company," "we," "us," or "our") and you ("Customer," "you," or "your"). By accessing or using our services, including but not limited to web hosting, domain registration, cloud computing, managed services, and related offerings, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a business entity, you represent that you have the authority to bind that entity.
Your use of our services constitutes acceptance of these Terms. If you do not agree to these Terms, you must immediately cease all use of our services and terminate your account.
Nexcloudnet provides enterprise-grade hosting solutions, domain registration services, cloud infrastructure, managed IT services, and related professional services. Services are provided subject to our Service Level Agreements (SLAs), which are incorporated herein by reference. We reserve the right to modify, suspend, or discontinue any service with reasonable notice, except in cases of emergency or legal requirements.
As a Customer, you agree to:
All fees are payable in advance unless otherwise agreed in writing. Payment terms are net 30 days for established customers. We accept major credit cards, wire transfers, and other approved methods. Late payments may incur interest at 1.5% per month. All fees are non-refundable except as expressly stated in our refund policy or SLA. Taxes are additional and your responsibility.
All Company trademarks, service marks, trade names, logos, and proprietary materials are owned by Nexcloudnet. Customer retains ownership of their data and content. Customer grants Company a limited license to use, store, and process Customer data solely for providing services. Company retains ownership of all improvements, modifications, or derivative works to our platform and services.
Company implements industry-standard security measures to protect Customer data. However, Customer acknowledges that no system is completely secure. Company shall not be liable for unauthorized access due to Customer's negligence. Our Privacy Policy, available at /privacy-policy, governs data collection and usage.
To the maximum extent permitted by law, Company's total liability for any claims arising from these Terms or services shall not exceed the total fees paid by Customer in the 12 months preceding the claim. Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.
Customer agrees to indemnify, defend, and hold harmless Company from any claims, damages, or expenses arising from Customer's use of services, violation of these Terms, or infringement of third-party rights. Company will indemnify Customer for claims that services directly infringe third-party intellectual property rights.
Either party may terminate this agreement with 30 days' written notice. Company may terminate immediately for material breaches. Upon termination, Customer must cease all use of services and return or destroy Company property. Termination does not relieve Customer of payment obligations for services rendered.
Neither party shall be liable for delays or failures due to causes beyond reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or government actions.
These Terms are governed by the laws of Indonesia. Any disputes shall be resolved through binding arbitration in Jakarta, Indonesia, under the rules of the Indonesian National Arbitration Board.
Company may modify these Terms with 30 days' notice. Continued use of services after changes constitutes acceptance. Material changes will be communicated via email.
These Terms, together with any signed agreements and SLAs, constitute the entire agreement between the parties. Any amendments must be in writing and signed by both parties.
